1. Introduction
These Terms of Service (“Terms”) govern your access to and use of The Modern Concierge, LLC’s (“Company,” “we,” “us”) website, client portal, and related services. By accessing or using our services, you agree to these Terms.
2. Independent Contractor Status
The Company operates as an independent contractor. No employment relationship is created by your use of our services. This includes, but is not limited to, no benefits, tax withholding, or authority to bind you. You are responsible for your own compliance and decisions.
3. Confidentiality
The Company agrees to maintain confidentiality regarding your business information, personal information, and sensitive data. You agree to maintain confidentiality regarding any Company proprietary information, trade secrets, and business strategies. This section survives termination or expiration of your agreement with us. 4. Limitation of Liability
To the fullest extent permitted by applicable law, the Company’s total cumulative liability arising out of or relating to your use of our services, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the total fees actually paid by you to the Company during the three (3) months immediately preceding the event giving rise to the claim.

6. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms will first be attempted to be resolved through informal, good-faith negotiations. If a dispute cannot be resolved within thirty (30) days, the parties agree to submit the matter to mediation in Louisiana before initiating litigation.
If mediation is unsuccessful, any legal action or proceeding arising under these Terms will be brought exclusively in the state or federal courts located in Lafayette, Louisiana, and you consent to the personal jurisdiction and venue of those courts.
The prevailing party in any action to enforce these Terms is entitled to recover its reasonable attorneys’ fees and costs.
7. Termination
Either party may terminate their relationship with the other if the other party materially breaches these Terms and fails to cure such breach within ten (10) days after receiving written notice describing the breach in reasonable detail.
The Company may suspend services or terminate immediately, without a cure period, when reasonably necessary for threats, violence, harassment, discriminatory or abusive conduct directed at Company personnel; dangerous or materially unsafe conditions; fraud; intentional misuse of Company personnel or credentials; illegal requests; or other conduct that reasonably presents an immediate safety, legal, or security risk.
8. Entire Agreement; Amendments; Electronic Signatures
These Terms, together with any service agreement you’ve separately signed with us, constitute the entire agreement between the parties concerning their subject matter and supersede prior or contemporaneous proposals, representations, negotiations, and communications.
Any amendment must be in writing and accepted by both parties.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.
Failure to enforce a provision on one occasion does not waive the right to enforce it later.
